Tax Positions, Potential Penalties and Tax Shelter Disclosure Requirements:

Because the tax law is not always clear, US Global Tax Filers will use its professional judgment in assisting you to resolve questions affecting your returns. Your returns may be selected for review by taxing authorities, who may not agree with your positions. Any adjustments they propose are subject to certain rights of appeal. In that event, US Global Tax Filers would generally be pleased to represent you for an additional fee. Because of the lack of clarity in the law, however, US Global Tax Filers cannot provide assurance that the positions asserted by taxing authorities will not ultimately be sustained. You should note that the tax law currently provides for a 20 percent penalty that applies to any “substantial understatement” of tax liability which is defined as the greater of 10 percent of the tax required to be shown on the return or $5,000.

The IRS and some states have promulgated “tax shelter” rules that require taxpayers to disclose their participation in “reportable transactions” by attaching a disclosure form to their federal and/or state income tax returns and, when necessary, by filing a copy with the Internal Revenue Service and/or the applicable state agency. These rules impose significant requirements to disclose transactions and such disclosures may encompass many transactions entered into in the normal course of business or in your personal investing activities. Failure to make such disclosures could result in substantial penalties. You are responsible for ensuring that you have properly disclosed all “reportable transactions”. US Global Tax Filers will not be liable for any penalties resulting from your failure to accurately or timely file any required disclosure. Please note that any disclosure required by or made pursuant to the tax shelter rules is separate and distinct from any other disclosure that you might be required or choose to make with your tax returns. US Global Tax Filers' ability to identify transactions requiring disclosure is limited to the information that you provide as part of the tax return preparation process. In this connection, you should note that US Global Tax Filers cannot take responsibility for identification of potentially disclosable transactions that originate from pass-through entities (partnerships, S Corporations, LLC’s, etc.) when the relevant facts are not disclosed by the pass-through entity’s tax reporting information that you are responsible to supply to us. Further, our procedures will not include inquiries of the pass-through entities to ascertain the existence of potentially disclosable transactions unless you specifically request such services from us in writing.
